PREAMBLE
Please read these terms carefully before placing an order on www.ziipa.fr. By placing an order on our website, you agree to be bound by these terms. These terms define the contractual relationships, rights, and obligations between:
The company CECOA DIFFUSION, registered with the RCS under number 799 439 849 in Evry, with its headquarters at 87 Voie de Châtenay, 91370 Verrières-le-Buisson, France.
"THE CLIENT", any person visiting and/or purchasing an item offered for sale on the e-commerce website www.ziipa.fr.
The transfer of ownership by THE CLIENT to a third party of an item originally purchased from CECOA DIFFUSION is not governed by these general terms of sale.
ARTICLE 1 – ENTIRE AGREEMENT
These general terms and conditions express the full obligations of both parties. By placing an order, THE CLIENT is deemed to accept them without reservation. These terms apply exclusively and override any other terms unless expressly agreed upon by CECOA DIFFUSION. They take precedence over any previous versions or contradictory documents.
CECOA DIFFUSION reserves the right to modify these terms at any time without prior notice. The applicable terms will be those in effect at the date of the order.
ARTICLE 2 – SCOPE
These general terms and conditions define the rights and obligations of both parties in the context of online sales of goods offered by CECOA DIFFUSION on www.ziipa.fr. The clientele is not geographically restricted.
CECOA DIFFUSION commits to delivering to any CLIENT residing in mainland France as per the conditions described herein, and to the European Union under the applicable shipping rates selected at checkout.
ARTICLE 3 – CONTRACT LANGUAGE
The general terms and conditions of sale are written in French.
ARTICLE 4 – ACCEPTANCE OF TERMS
These terms are available at any time to THE CLIENT on www.ziipa.fr under the "Terms and Conditions" section.
By placing an order and entering into a contract, THE CLIENT acknowledges having read and understood these terms, in compliance with Article L. 221-5 of the French Commercial Code, and expressly accepts them without reservation. These terms are binding under Article 1119 of the French Civil Code and prevail over any other terms in any other document.
ARTICLE 5 – LEGAL CAPACITY
THE CLIENT declares that they have full legal capacity to enter into this agreement.
THE CLIENT also confirms that they are at least 18 years old and legally authorized to access and make purchases online.
ARTICLE 6 – PRODUCTS
6.1. General Information
The products covered by these terms are those listed on www.ziipa.fr and marked as sold and shipped by CECOA DIFFUSION.
The products comply with applicable French laws and standards.
6.2. Product Descriptions
The photographs, texts, graphics, and other information on www.ziipa.fr aim to illustrate the products as accurately as possible in accordance with legal requirements. The information provided on each product page comes from the manufacturers or suppliers.
CECOA DIFFUSION takes great care to ensure accurate and detailed product descriptions. However, if errors or omissions occur, CECOA DIFFUSION cannot be held liable and commits to correcting them promptly upon discovery.
While the product images aim to be as close to reality as possible, slight differences may exist due to factors like display settings or image quality. CECOA DIFFUSION cannot be held responsible for these minor discrepancies as long as the product itself matches the contract. In any case, THE CLIENT has a right of withdrawal under Article 14, allowing them fourteen (14) days to return the item.
6.3. Availability
Products are available while they are visible on the website and within stock limits.
CECOA DIFFUSION will make every effort to fulfill all orders. However, if a product becomes unavailable after an order is placed, THE CLIENT will be informed by email and/or phone. The amount paid for the unavailable product(s) will be refunded within 30 days to the original payment method.
CECOA DIFFUSION reserves the right to modify product availability based on supplier constraints. The company is not responsible for product unavailability caused by supplier delays or shortages, nor does it entitle THE CLIENT to claim damages.
Additionally, CECOA DIFFUSION is not liable for non-fulfillment of an order due to force majeure or unforeseen circumstances. Force majeure includes any unavoidable, external, and unpredictable events beyond the parties' control, such as:
Strikes (postal services, transportation, communication services)
Natural disasters (floods, fires, earthquakes, storms)
6.4. Legal Guarantees – Hidden Defects & Compliance
Under Articles 1641 and following of the French Civil Code, CECOA DIFFUSION guarantees THE CLIENT against hidden defects in delivered products. If defects are found, the product may be replaced or parts exchanged as necessary. However, CECOA DIFFUSION cannot be held responsible for any damages resulting from such defects.
Additionally, in accordance with Articles L. 217-1 and following of the French Consumer Code, CECOA DIFFUSION guarantees that the products comply with the contract.
For continuous service improvement, CECOA DIFFUSION encourages THE CLIENT to report any issues via the Contact section on the website.
Products must be used as intended by the manufacturer. CECOA DIFFUSION declines any responsibility for improper use or use that does not follow manufacturer recommendations.
ARTICLE 7 - PRICE
The price is expressed in euros (€).
The price indicated on the product sheets does not include delivery costs, which are charged separately and indicated before order confirmation. CECOA DIFFUSION reserves the right to modify its prices at any time. In the event of a price change, the price charged to the CLIENT is the one listed on the order form and accepted by the CLIENT at the time of validation. The price indicated in the order confirmation is the final price, expressed in all taxes included (TTC) for France. It includes: the price of the products, handling fees, packaging costs, and transportation fees.
For deliveries within the European Union, the applicable VAT is the one in effect on the order date, with any change in the VAT rate automatically reflected in the product prices displayed on the online store.
For deliveries outside the European Union, the CLIENT is responsible for paying customs duties, VAT, or other import taxes applicable in the destination country. The CLIENT is also solely responsible for ensuring compliance with local import regulations.
ARTICLE 8 – ORDERING
The "cart" function allows the CLIENT to virtually select products from the online catalog on the website www.ziipa.fr. The CLIENT can review their cart, check the corresponding price, and modify it at any time during their visit to the CECOA DIFFUSION website. The cart's contents are definitively assigned to the CLIENT after validation, explicit acceptance of these terms and conditions via a checkbox, entry of the delivery address, and selection of the payment method through the online form, subject to product availability.
Automatic recording systems serve as proof of the nature, content, and date of the order. CECOA DIFFUSION confirms order acceptance via email to the address provided by the CLIENT.
This is a binding purchase, meaning:
Placing an order requires full payment from the CLIENT.
The sale is concluded and deemed final only after order confirmation and successful payment by CECOA DIFFUSION.
Full payment must be received before CECOA DIFFUSION ships the order. Therefore, availability and shipping times are calculated from the date of payment receipt.
CECOA DIFFUSION reserves the right to refuse an order for any reason, including product supply issues or anomalies with the CLIENT’s order (incorrect or incomplete address, issues with the CLIENT’s account, etc.). CECOA DIFFUSION also reserves the right to cancel orders from CLIENTS who have outstanding payments or unresolved payment disputes.
Order records and invoices are securely stored and may serve as proof of transactions between the parties.
ARTICLE 9 – ELECTRONIC SIGNATURE
In accordance with the French law of March 13, 2000, on electronic signatures, any order confirmed by the CLIENT through a "double-click" constitutes an irrevocable acceptance that can only be challenged under the limited conditions outlined in these terms, such as the "right of withdrawal" and "out-of-stock" situations.
ARTICLE 10 – PAYMENT METHODS
The CLIENT can pay by credit card (Carte Bleue, Visa, or Mastercard) via the secure online payment system or through PAYPAL.
The CLIENT guarantees that they are fully authorized to use the credit card, that it is a personal card, and that it is not being used fraudulently. The CLIENT also confirms that sufficient funds are available to cover all purchase costs on CECOA DIFFUSION’s online store.
The order will only be considered effective once banking institutions have approved the payment. If payment is refused, the order will be automatically canceled.
Discount codes apply only to product value (excluding shipping fees) and must meet the minimum value of the voucher. They cannot be applied retroactively after the order has been placed. Discount codes offering free products are subject to stock availability. Codes are valid only until their expiration date.
ARTICLE 11 – SECURITY & CONFIDENTIALITY
The credit card number is transmitted directly to the bank’s servers, ensuring that payment is made securely without passing through CECOA DIFFUSION's website. This guarantees that the CLIENT's banking details:
- Are only known to CECOA DIFFUSION’s banking partner.
- Are inaccessible to third parties.
ARTICLE 12 – RETENTION OF OWNERSHIP
Products remain the exclusive property of CECOA DIFFUSION until full payment is received.
Risk transfer occurs upon delivery when the CLIENT, or a third party designated by them, physically takes possession of the products at the specified delivery address or from the carrier.
ARTICLE 13 – DELIVERY
Products are delivered to the address or pick-up point specified during the ordering process. In France, deliveries are made via Colissimo (home delivery or pick-up point).
13.1. Delivery in France
Colissimo home delivery: 2 to 4 business days after shipment. Shipping cost: €9.90 (€5.90 for orders over €99). Signature required upon delivery.
Colissimo pick-up point: 3 to 5 business days after shipment. Shipping cost: €7.90 (free for orders over €99). Pick-up locations include post offices, Pickup relay points, or locker stations.
Note: Orders placed before 11:30 AM are processed the same day; those placed in the afternoon are shipped the next business day. A €39 surcharge applies to orders including a serving trolley.
13.2. Delivery within the European Union
Delivery takes 3 to 8 business days. Shipping costs vary by country:
Zone 1 (Germany, Belgium, Luxembourg, Netherlands): €49.90
Zone 2 (Austria, Spain, Portugal, Ireland, UK, Italy): €59.90
Zone 3 (Estonia, Hungary, Lithuania, Latvia, Czech Republic, Slovakia, Slovenia, Switzerland, Denmark, Poland, Sweden): €69.90
13.3. Delays & Issues
If a delay occurs, the CLIENT will be notified via email.
If delivery is not made within the specified timeframe (or within 30 days at most), the CLIENT may cancel the order and request a full refund.
CECOA DIFFUSION is not responsible for delivery delays caused by postal or transport services.
Incorrect address information provided by the CLIENT may result in additional charges for reshipment.
13.4. Receiving Goods
CLIENTS must inspect goods upon receipt. Any visible damage must be immediately reported to the delivery service and the package refused if necessary.
Any issues must be reported to CECOA DIFFUSION within 48 hours of delivery.
If the above conditions are met, CECOA DIFFUSION will replace or refund defective/missing items, subject to stock availability.
ARTICLE 14 – RIGHT OF WITHDRAWAL & RETURNS
As per Article L. 221-18 of the French Consumer Code, the CLIENT has 14 days from delivery to withdraw from the purchase without justification.
Refunds cover the product price only (excluding shipping costs).
Returned items must be unused, in original packaging, and accompanied by the invoice or delivery note.
Damaged, soiled, or incomplete products will not be refunded.
The CLIENT is responsible for return shipping costs and should use a tracked shipping method.

ARTICLE 15 – WARRANTY
CECOA DIFFUSION is responsible for any lack of conformity of the goods under the conditions set forth in Articles L.217-4 and following of the French Consumer Code, as well as for hidden defects under the conditions provided in Articles 1641 and following of the French Civil Code.
When you act under the legal conformity warranty:
- You have two years from the date of delivery to take action.
- You may choose between repair or replacement of the item, subject to the cost conditions set out in Article L. 217-9 of the Consumer Code.
- You are not required to prove the existence of the conformity defect.
Additionally, you may choose to invoke the warranty for hidden defects as defined in Article 1641 of the Civil Code. In this case, you may choose between canceling the sale or receiving a partial refund, as per Article 1644 of the Civil Code.
To benefit from the product warranty, you must keep the purchase invoice.
The warranty does not cover:
- Replacement of consumables (batteries, bulbs, fuses).
- Defects and their consequences resulting from repairs performed by unauthorized technicians.
- Defects and their consequences caused by improper use (e.g., professional or collective use).
- Defects and their consequences due to external causes.
Before returning any products, you must obtain return authorization with specific instructions. For any inquiries, please visit your customer account.
The warranty does not cover defects or damage caused by improper use of the product.
ARTICLE 16 – INTELLECTUAL PROPERTY
CECOA DIFFUSION holds the intellectual property rights of the website and the right to distribute the elements appearing in the online store catalog, including photographs, for which it has obtained necessary authorizations.
Accordingly, and in compliance with the French Intellectual Property Code, any partial or total reproduction, on any medium, of the website’s components or product catalog, as well as their use or distribution to third parties, is strictly prohibited unless expressly authorized in writing by CECOA DIFFUSION.
ARTICLE 17 – DATA PROTECTION & PRIVACY
Personal data provided by the CLIENT is necessary for processing orders and issuing invoices.
This information may also be used to offer the CLIENT similar products and to send promotional emails related to CECOA DIFFUSION’s commercial or marketing operations.
When providing their contact details, the CLIENT may choose not to subscribe to the newsletter by leaving the corresponding checkbox unchecked.
The CLIENT may unsubscribe at any time by clicking the unsubscribe link at the bottom of CECOA DIFFUSION’s emails or by contacting CECOA DIFFUSION directly.
Collected data is confidential, and CECOA DIFFUSION will not share or sell CLIENT information to third parties, except for its partners involved in order execution, processing, management, and payment.
All details regarding compliance with the General Data Protection Regulation (GDPR - EU Regulation 2016/679) are available on the website www.ziipa.fr, under the page "Personal Data & Privacy Policy."
The processing of personal data collected via www.ziipa.fr has been declared to the French National Commission for Data Protection and Liberties (CNIL).
In accordance with Law No. 78-17 of January 6, 1978, relating to data protection, as amended by Law No. 2004-801 of August 6, 2004, the CLIENT has the right to access, rectify, and, within legal limits, request the deletion of their personal data.
ARTICLE 18 – PARTIAL INVALIDITY
If one or more provisions of these General Terms and Conditions of Sale are deemed invalid or declared as such under a law, regulation, or final decision of a competent court, the remaining provisions shall remain in full force and effect.
ARTICLE 19 – LIABILITY
This contract is governed by French law, excluding the provisions of the Vienna Convention.
CECOA DIFFUSION cannot be held liable for any material, immaterial, or physical damages resulting from malfunction or misuse of the purchased products.
The same applies to any modifications made by manufacturers.
CECOA DIFFUSION’s liability is strictly limited to the total amount of the order. It cannot be held responsible for minor errors or omissions despite the precautions taken in presenting the products. CECOA DIFFUSION is only bound by a best-effort obligation in the online sales process.
CECOA DIFFUSION cannot be held responsible for damages resulting from Internet usage, such as data loss, hacking, viruses, service interruptions, or other involuntary issues.
ARTICLE 20 – MEDIATION & COMPETENT COURTS
The parties agree that this contract is subject to French law and that only French courts have jurisdiction over disputes. The language of these General Terms and Conditions of Sale is French.
Any disputes between CECOA DIFFUSION and the CLIENT fall under the jurisdiction of the Commercial Court of Évry, even in cases of multiple defendants or third-party claims, including emergency or interim relief proceedings.
It is also agreed that in case of a potential dispute, the parties shall attempt an amicable resolution before initiating legal proceedings.
20.1. Consumer Mediation Service
For the amicable settlement of disputes between professionals and consumers, in accordance with Articles L611-1 to L641-1 and R612-1 to R616-2 of the French Consumer Code, the CLIENT has the right to contact a consumer mediator.
Before referring the matter to a mediator, the CLIENT must have first attempted to resolve the dispute directly with CECOA DIFFUSION through a written complaint or through a formal complaint procedure as stated in the contract.
Consumer mediation is an out-of-court dispute resolution process. If the necessary conditions are met, mediation will proceed following a defined procedure and applicable regulations.
